1. Introduction

These Partner Terms of Service (“Terms”) govern your access to and use of the OK!TO Partner platform, including its mobile application and website (collectively, the “Platform”).

By registering as a Partner and using the Platform, you confirm that you are legally authorized to provide transportation or delivery services and agree to be bound by these Terms.

OK!TO is operated by Duradrive Technologies Inc.


2. Nature of the Relationship

OK!TO provides a digital platform that connects Consumers with independent Partners.

You acknowledge and agree that:

• You operate as an independent contractor
• You are not an employee, agent, or representative of OK!TO
• You control how, when, and where you provide services

OK!TO does not provide transportation or delivery services. Partners perform all rides and deliveries.


3. Services Covered

These Terms apply to Partners providing:

• TNVS Ride services
• Moto-Taxi transportation
• Express Delivery


4. Eligibility Requirements

To access and use the OK!TO Partner Platform, you must meet the following requirements based on service category:


a. Express Delivery Partners

You must:

• Hold at least a valid Non-Professional Driver’s License
• Submit government-issued identification
• Provide applicable vehicle documentation, if using a vehicle
• Complete OK!TO verification procedures


b. Moto-Taxi and Ride (TNVS) Partners

You must:

• Hold a valid Professional Driver’s License
• Submit complete TNVS documentation, including but not limited to:
 – LTFRB TNVS accreditation or authority
 – Provisional Authority (PA), if applicable
 – Other regulatory documents required by law

• Provide a copy of valid vehicle registration (OR/CR)
• Maintain active vehicle insurance
• Submit government-issued identification
• Meet OK!TO onboarding and verification standards


Current Partner Intake Status

OK!TO is not currently accepting new Moto-Taxi or Ride (TNVS) Partners.

Only Partners who previously operated under valid TNVS authorization or who currently possess complete and compliant TNVS documentation may be approved.

Submission of documents does not guarantee approval. OK!TO reserves the right to accept or decline applications based on operational capacity and regulatory requirements.


Medical Fitness Requirement

Partners aged fifty-five (55) years old and above must submit a valid medical certificate or fit-to-drive clearance issued by a licensed medical practitioner.

This requirement supports the safety of both Partners and Consumers.


5. Account Registration and Verification

Partners must create an account and submit required documentation, including:

• Government ID
• Driver’s license
• Vehicle OR/CR
• Insurance
• Regulatory permits

OK!TO may conduct periodic reviews and request updated documents.

Failure to maintain compliance may result in suspension or deactivation.


6. Partner Responsibilities

Partners agree to:

• Follow all traffic and safety laws
• Maintain vehicles in safe working condition
• Provide professional and respectful service
• Keep vehicles clean and presentable
• Arrive promptly for bookings
• Avoid discrimination or harassment
• Accurately confirm trips and deliveries in the Platform


7. Vehicle Standards

Vehicles must:

• Meet LTFRB or applicable regulatory requirements
• Be mechanically sound and roadworthy
• Carry valid registration and insurance
• Comply with minimum vehicle year-model requirements prescribed by the LTFRB for cars and motorcycles
• Pass inspections when required

Vehicles that fail to meet standards may be removed from service.


8. Safety Obligations

Partners must prioritize safety at all times, including:

• Defensive driving
• Helmet use for Moto-Taxi
• Seatbelt compliance
• Avoiding reckless behavior
• Following OK!TO safety policies

Partners must cooperate with safety reviews and investigations.


9. Emergency and Incident Handling

Consumers have access to an in-app Emergency feature during Ride and Moto-Taxi trips.

Partners agree to cooperate with emergency procedures and incident reviews.

All accidents, injuries, disputes, or safety concerns must be reported immediately to OK!TO:

10. Express Delivery Rules

For Express Delivery:

• Maximum declared item value: PHP 10,000 per booking
• Prohibited items are not allowed
• Partners may refuse unsafe or undeclared packages

Pickup and drop-off must be confirmed through the Platform.


11. Earnings and Payments

Partner earnings are based on completed services, less applicable platform service fees.

OK!TO facilitates customer payments and disburses earnings based on the payout schedule shown in the Platform.

Adjustments may occur due to errors, disputes, or policy violations.


12. Cancellations

Partners may cancel bookings only for valid reasons such as:

• Vehicle malfunction
• Safety concerns
• Consumer no-show

Repeated unjustified cancellations may result in penalties or suspension.


13. Ratings and Performance

Consumers may rate Partners.

Consistently low ratings, complaints, or misconduct may result in warnings, suspension, or permanent deactivation.


14. Privacy and Personal Data

Partner information is processed in accordance with OK!TO’s Privacy Policy and the Philippine Data Privacy Act.

Information may be disclosed to regulators or Consumers where legally required.


15. Platform Use and Intellectual Property

OK!TO owns the Platform, software, branding, and systems.

Partners receive a limited license to use the Platform solely for OK!TO services.

Unauthorized use is prohibited.


16. Suspension and Termination

OK!TO may suspend or deactivate Partner accounts for:

• Safety violations
• Fraud or misrepresentation
• Regulatory non-compliance
• Poor performance
• Misconduct
• Failure to maintain required documentation

Serious violations may result in immediate termination.


17. Liability and Indemnity

Partners are responsible for their conduct and services.

Partners agree to indemnify OK!TO against claims arising from accidents, regulatory breaches, misconduct, or misrepresentation.

Nothing herein limits rights under Philippine law.


18. Amendments

OK!TO may update these Terms from time to time. Continued use of the Platform constitutes acceptance of revised Terms.


19. Governing Law

These Terms are governed by the laws of the Republic of the Philippines.
